These Terms of Service (“Terms”) govern your access to and use of the ShiftWMS warehouse management software and the website at www.shiftwms.com (together, the “Services”) provided by ShiftWMS (“ShiftWMS”, “we”, “us”, or “our”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Use of the Services
Subject to these Terms and any applicable order or subscription agreement, we grant you a limited, non-exclusive, non-transferable right to access and use the Services for your internal business operations.
2. Accounts & Security
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us promptly of any unauthorized use. We are not liable for losses arising from your failure to safeguard your credentials.
3. Acceptable Use
You agree not to: (a) use the Services in violation of any law; (b) interfere with or disrupt the integrity or performance of the Services; (c) attempt to gain unauthorized access to the Services or related systems; (d) reverse engineer the Services except as permitted by law; or (e) use the Services to store or transmit malicious code.
4. Customer Data
As between you and ShiftWMS, you retain all rights to the data you or your organization submit to the Services (“Customer Data”). You grant us the rights necessary to host, process, and transmit Customer Data solely to provide and improve the Services, and as described in our Privacy Policy.
5. Third-Party Integrations
The Services may integrate with third-party services (for example ProShip for carrier shipping or SAP for ERP synchronization). Your use of those services is subject to their own terms, and we are not responsible for third-party services.
6. Intellectual Property
The Services, including all software, design, and content (excluding Customer Data), are owned by ShiftWMS and its licensors and are protected by intellectual property laws. These Terms do not grant you any rights to our trademarks or branding.
7. Disclaimers
The Services are provided “as is” and “as available” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement, to the maximum extent permitted by law.
8. Limitation of Liability
To the maximum extent permitted by law, ShiftWMS will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Services.
9. Termination
We may suspend or terminate access to the Services if you breach these Terms or if necessary to protect the Services or other users. Upon termination, your right to use the Services ceases; provisions that by their nature should survive will survive.
10. Changes to the Services or Terms
We may modify the Services or these Terms from time to time. Material changes to these Terms will be reflected by updating the “Last updated” date above. Your continued use of the Services after changes take effect constitutes acceptance of the revised Terms.
11. Governing Law
